These Terms and Conditions apply to all goods and services supplied by Playground Centre to business customers, including councils, schools, early childhood centres, contractors, developers, community organisations, and commercial clients. By placing an order or engaging our services, you agree to these Terms.

These Terms are governed by New Zealand law.

Legal Framework

These Terms apply in a business-to-business context. Where goods or services are acquired for business purposes, the parties agree that the Consumer Guarantees Act 1993 does not apply to the maximum extent permitted by law.

Nothing in these Terms limits any rights or obligations under the Fair Trading Act 1986 or the Privacy Act 2020.

Quotation Validity

All quotations are valid for up to ninety (90) days from the date of issue unless otherwise advised in writing. Pricing may be subject to change after this period.

Orders, Design Approval & Pre-Production Requirements

The following is required prior to the manufacture, supply or installation of any playground equipment, shade structures, outdoor learning environments, safety surfacing or associated products:

• A written purchase order from a duly authorised representative of the purchasing organisation and, where required, payment of a deposit.
• Written approval of all relevant designs, layouts and specifications.
• Confirmation of colours, finishes, materials and product selections.
• Any required site information necessary for manufacture or installation.

Playground Centre will not commence manufacture, procurement or installation until all required approvals, documentation and payments have been received.

An order is not accepted until Playground Centre issues written confirmation. Playground Centre reserves the right to decline any order prior to acceptance.

Pricing and Payment

All prices are in New Zealand Dollars (NZD) and exclude GST unless stated otherwise. Pricing is based on the scope, specifications and site conditions confirmed at the time of approval.

Unless otherwise agreed in writing, payment terms are net seven (7) days following invoice.

Playground Centre reserves the right to require deposits, progress payments or payment prior to dispatch.

Failure to make payment on time may result in delayed supply, suspension of works, withholding of delivery or additional charges.

Ownership and Risk

Risk in the goods passes to the client upon delivery to site.

Ownership of the goods remains with Playground Centre until all amounts owing in relation to those goods have been paid in full.

Lead Times

Lead times may vary depending on manufacturing requirements, customisation, imported components, material availability, site conditions and freight requirements.

Indicative lead times will be provided at the time of order confirmation but are estimates only and may be subject to change.

Delivery

Delivery timeframes are indicative and subject to manufacturing schedules, shipping schedules and logistics.

The client is responsible for ensuring safe and suitable site access and compliance with any site-specific requirements.

Playground Centre is not liable for delays arising from circumstances beyond its reasonable control, including freight disruptions, shipping delays, material shortages, weather events, labour shortages, regulatory approvals or third-party delays.

Installation

Where installation is included, the client is responsible for ensuring the site is fully prepared, accessible and suitable for installation.

Playground Centre assumes that information provided regarding site conditions is accurate. Additional costs or delays arising from unforeseen ground conditions, underground services, rock excavation, contaminated soil, restricted access, project delays, weather events or third-party actions may be charged to the client.

Any required consents, approvals or permissions not expressly included within Playground Centre’s scope of work remain the responsibility of the client.

Variations and Cancellations

Any variation requested after design approval may result in additional costs and revised lead times.

Orders for customised, manufactured-to-order or imported products cannot be cancelled once manufacture, procurement or shipping has commenced without Playground Centre’s written consent.

Where cancellation is approved, Playground Centre may recover costs incurred for work completed, materials purchased, manufacturing commitments, supplier charges and administration.

Warranty and Defects

Playground Centre will address defective goods and workmanship in accordance with applicable New Zealand law and any applicable product warranty.

Remedies may include repair, replacement or credit at Playground Centre’s discretion.

The client must inspect goods upon delivery and notify Playground Centre of any visible defects, shortages or damage within seven (7) days of delivery or installation.

Any hidden defect must be notified within a reasonable period after discovery.

Warranties do not cover misuse, vandalism, unauthorised modifications, improper maintenance, third-party installation issues, accidental damage, excessive wear, environmental conditions outside normal use, or normal wear and tear.

Compliance and Safety

Where playground equipment is supplied or installed, Playground Centre will use reasonable endeavours to ensure compliance with applicable New Zealand playground standards and specifications included within the approved project scope.

Ongoing inspection, maintenance, operational safety checks and asset management remain the responsibility of the owner once practical completion has occurred.

Liability

To the maximum extent permitted by law, Playground Centre’s total liability arising from any claim relating to goods or services supplied shall not exceed the amount paid by the client for the relevant goods or services.

Playground Centre is not liable for any indirect, consequential, special or economic loss, including loss of profit, loss of revenue, loss of opportunity, project delays, business interruption or reputational damage.

Intellectual Property

All designs, drawings, specifications, concepts, visualisations, plans and other intellectual property created or supplied by Playground Centre remain the property of Playground Centre unless otherwise agreed in writing.

These materials may not be copied, reproduced, modified, shared or distributed without prior written consent.

Privacy & Marketing Consent

Playground Centre handles personal information in accordance with the Privacy Act 2020 and its Privacy Policy.

When you submit a form on our website, we collect the information you choose to provide, such as your name, email address, phone number, organisation, and message.

We use this information to respond to your enquiry and, where you have agreed, to send you relevant marketing communications such as news, updates, resources, product information, and event invitations. 

We will not sell, rent, or share your personal information with external agencies for their own marketing purposes.

Your information may be stored in our website, CRM, or email marketing systems so we can manage enquiries and communications.

You can unsubscribe from marketing emails at any time by clicking the unsubscribe link in our emails or contacting us directly.

Changes to Terms

Playground Centre may update these Terms from time to time. The version published on the Playground Centre website at the time of order will apply unless otherwise agreed in writing.

Governing Law

These Terms are governed by the laws of New Zealand, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
